1. Acceptance of Terms
By placing an order with Mensa Distributeur Alimentaire Inc. ("Mensa"), you agree to be bound by these Terms and Conditions. These terms govern all transactions between Mensa and its restaurant clients. If you do not agree to these terms, please contact us before placing an order.
2. Orders and Deliveries
Orders must be placed the day before your scheduled delivery date, directly with your account representative. Delivery days and windows are confirmed when your account is set up. Mensa reserves the right to adjust delivery routes under exceptional circumstances. A confirmed order constitutes acceptance of receipt by the client.
3. Pricing and Invoicing
All prices are in Canadian dollars (CAD) and subject to change without notice due to market fluctuations. Invoices are issued at each delivery. Any billing discrepancy must be reported within 5 business days of receiving the invoice. Listed prices do not include applicable taxes (GST/QST), which will be added to the invoice.
4. Payment Terms and Credit
Standard payment terms are net 30 days from the invoice date, unless otherwise confirmed in writing. Accounts outstanding beyond 30 days may be subject to interest charges of 2% per month (24% per year). Mensa reserves the right to suspend deliveries for any account whose unpaid balance exceeds agreed terms.
5. Returns and Disputes
Any damaged or non-conforming product must be reported on the day of delivery. Mensa will review the claim and offer a replacement or credit as appropriate. Unauthorized returns will not be accepted. Product quality disputes must be accompanied by appropriate documentation (photos, lot number, date).
6. Product Availability
Mensa strives to maintain availability of all listed products. However, stock shortages may occur due to factors outside our control. In the event of unavailability, we will notify you as soon as possible and offer alternatives where available. Mensa shall not be liable for losses resulting from product unavailability.
7. Limitation of Liability
Mensa's liability is limited to the value of the delivered products in dispute. Mensa is not responsible for indirect, consequential, or special damages resulting from the use or inability to use the products. The client is responsible for compliance with applicable food safety regulations at their establishment.
8. Governing Law
These terms are governed by and construed in accordance with the laws of the Province of Quebec and applicable federal laws of Canada. Any dispute shall be subject to the exclusive jurisdiction of the courts of Montreal, Quebec.
9. Amendments
Mensa reserves the right to amend these terms at any time. Amendments take effect upon publication or notification to clients. Continued business activity after notification constitutes acceptance of the updated terms.
